Terms & Conditions: Opal Beauty Manufacturing & Supply
These Terms & Conditions ("Terms") govern the professional relationship between Opal Beauty and our clients. By placing an order, requesting a sample, or entering into a supply agreement with us, you agree to be bound by these Terms.
1. Orders & Specifications
- Order Acceptance: Orders are only deemed accepted upon written confirmation from Opal Beauty. Silence or receipt of a purchase order does not constitute acceptance.
- Specifications: It is the client’s responsibility to ensure that all specifications, drawings, and technical requirements provided to us are accurate and complete.
- Changes: Any modification to technical specifications must be submitted in writing. We reserve the right to adjust pricing and lead times based on requested changes.
2. Production & Quality Standards
- Samples: All samples are provided as visual and functional representations. Minor variations in finish, weight, or dimensions are standard in industrial manufacturing and are not considered defects.
- Approval: For custom manufacturing, production will only commence after the client provides written approval of the final production sample.
- Quality Assurance: We adhere to strict internal QC protocols. If a batch is deemed non-conforming to agreed-upon specifications, the client must notify us in writing within 10 business days of receipt. Our sole obligation for verified non-conforming goods is repair or replacement.
3. Pricing & Payment
- Currency & Taxes: All prices are quoted in the currency specified in the invoice and are exclusive of VAT, sales taxes, excise duties, or custom levies, which are the responsibility of the client.
- Payment Terms: Standard payment terms are as agreed upon in individual contracts (e.g., Net 30). Late payments may incur interest at the prevailing local rate.
- Title of Goods: Title to the goods remains with Opal Beauty until full payment is received in cleared funds.
4. Delivery & Risk
- Incoterms: Shipping terms are governed by the latest Incoterms, as specified in your purchase agreement or invoice.
- Risk of Loss: The risk of loss or damage passes to the buyer upon delivery to the carrier or the specified delivery location.
- Force Majeure: Opal Beauty is not liable for delays caused by unforeseeable events beyond our reasonable control, including but not limited to logistics strikes, natural disasters, or government-imposed export/import restrictions.
5. Intellectual Property & Confidentiality
- Client IP: Designs, trademarks, and proprietary technical specifications provided by the client remain the property of the client and will be used solely for the fulfillment of their specific orders.
- Our IP: All manufacturing techniques, processes, and proprietary documentation provided by Opal Beauty remain our exclusive property.
- Confidentiality: Both parties agree to maintain the confidentiality of all trade secrets, manufacturing processes, and business sensitive information disclosed during the course of the agreement.
6. Limitation of Liability
To the maximum extent permitted by law, Opal Beauty’s total liability for any claim arising from or related to the supply of goods whether in contract, tort (including negligence), or otherwise shall not exceed the total price paid for the specific goods giving rise to the claim. We are not liable for any indirect, consequential, or economic loss, including loss of profit or goodwill.
7. Disputes & Governing Law
These Terms are governed by the laws of Pakistan. Any dispute arising from these Terms or our business relationship that cannot be resolved through good-faith negotiation shall be settled through arbitration in Sialkot, Pakistan.
